1. Services

Rivestack provides managed PostgreSQL database hosting services, including:

• Database provisioning and management
• pgvector support for vector similarity search
• Automated backups and point-in-time recovery
• High availability configurations
• Monitoring and metrics
• API and Terraform provider access

2. Account Registration

To use our Services, you must:

• Create an account with accurate and complete information
• Be at least 18 years old or the age of majority in your jurisdiction
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

3. Subscription and Payment

3.1 Pricing

Our Services are offered on a subscription basis with the following tiers:

• Free Tier: Shared cluster with limited resources for testing and development
• Paid Tiers: Dedicated resources billed per node per month

3.2 Billing

• Paid subscriptions are billed monthly in advance
• All fees are non-refundable unless otherwise stated
• Prices are in US Dollars and exclude applicable taxes
• We reserve the right to change pricing with 30 days notice

3.3 Payment Processing

Payments are processed by LemonSqueezy, our merchant of record. By subscribing, you also agree to LemonSqueezy's terms of service.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Store or transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems or other users' data
• Interfere with or disrupt the integrity of our Services
• Use the Services for illegal activities including but not limited to fraud, money laundering, or distribution of illegal content
• Store or process data that violates privacy laws without proper consent
• Resell or redistribute our Services without authorization
• Exceed the resource limits of your subscription tier
• Use automated systems to abuse free tier resources

We reserve the right to suspend or terminate accounts that violate these terms.

5. Data and Privacy

5.1 Your Data

You retain all rights to the data you store in our Services ("Your Data"). You grant us a limited license to host, store, backup, and transmit Your Data solely to provide the Services.

5.2 Data Location

Our Services are hosted in the following regions:

• EU (Germany)
• US-East (Virginia)

You are responsible for ensuring your use of our Services complies with applicable data protection laws in your jurisdiction.

5.3 Backups

We perform automated daily backups with retention periods based on your subscription tier. While we take reasonable measures to protect Your Data, you are responsible for maintaining your own backups of critical data.

5.4 Data Deletion

Upon account termination, Your Data will be deleted within 30 days. You may request immediate deletion by contacting support.

6. Service Level

6.1 Availability

We strive to maintain high availability of our Services. For High Availability (HA) configurations:

• Automatic failover typically completes within 30 seconds
• We do not guarantee 100% uptime

6.2 Scheduled Maintenance

We may perform scheduled maintenance with advance notice when possible. Critical security updates may be applied immediately.

6.3 Support

Support is provided via email at support@rivestack.io. Response times vary by subscription tier.

7. Intellectual Property

7.1 Our Property

Rivestack, our logo, and the Services are owned by OpsaFlow. These Terms do not grant you any rights to our trademarks or intellectual property.

7.2 Feedback

If you provide feedback or suggestions about our Services, we may use them without obligation to you.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Availability or accuracy

We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amounts paid by you in the 12 months preceding the claim
• We are not liable for any loss of data, profits, or business opportunities

10. Indemnification

You agree to indemnify and hold harmless Rivestack, OpsaFlow, and our officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights

11. Termination

11.1 By You

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period.

11.2 By Us

We may suspend or terminate your access to the Services:

• For violation of these Terms
• For non-payment
• If required by law
• At our discretion with 30 days notice

11.3 Effect of Termination

Upon termination:

• Your access to the Services will cease
• Your Data will be deleted within 30 days
• You remain responsible for any outstanding fees

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Services. Continued use after changes constitutes acceptance of the new Terms.

13. General

13.1 Governing Law

These Terms are governed by the laws of France, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes shall be resolved through binding arbitration, except where prohibited by law.

13.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

13.4 Entire Agreement

These Terms constitute the entire agreement between you and Rivestack regarding the Services.

13.5 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

13.6 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
